Terms of Service

Faceless Counsel is a product of Adviselo Collab Studios Private Limited (“Company”, “we”, “us”), the operator of Counselvise, available at submission.counselvise.com (the “Service”). By creating an account or using the Service you agree to these Terms, together with our Privacy Policy and Refund & Cancellation Policy. You must be at least 18 and able to form a binding contract under the Indian Contract Act, 1872.

1. What the Service does — and does not do

The Service uses AI to generate a first draft of a Written Submission for a CIT(A) / National Faceless Appeal Centre income-tax appeal, from the documents you upload (such as the Assessment Order, Form 35, notices and replies). Every output is a draft for professional review only. It is not legal advice, not an opinion, and not ready to file as-is. Using the Service does not create any advocate-client or attorney-client relationship. You — the advocate, chartered accountant or taxpayer — remain solely responsible for reviewing, correcting and verifying every fact and citation and deciding what to file. Where a fact is not on the record, the draft flags it rather than inventing it; you must supply and verify such facts.

2. Your documents and content

You retain ownership of the documents you upload and the drafts generated for you. You grant us a limited licence to process them solely to provide the Service. Uploaded documents are stored securely; client-identifying details are anonymised before any content is used to improve our shared knowledge base, and your documents are not sold. 3. Acceptable use

You agree not to use the Service unlawfully; not to upload content you have no right to upload; not to scrape, reverse-engineer, resell or redistribute the Service or its outputs beyond your own professional use; and not to present the drafts to any third party as filed-ready legal advice.

4. Accounts, credits and payment

Access to full drafts is prepaid. You purchase credits (see Pricing) through our payment processor, Razorpay. One credit entitles you to one draft submission; a credit is consumed only when you unlock the full submission for a matter. We may show a preview of a draft before unlock. Prices are in INR and may change prospectively; changes do not affect credits already purchased. There is no subscription and no auto-debit.

5. Availability and changes

We may modify, suspend or discontinue features at any time. We aim for reliable service but do not warrant uninterrupted or error-free operation.

6. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose or that any draft is accurate, complete or suitable for filing. To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special or consequential damages, or for any decision you make (including any filing) based on a draft. Our total liability for any claim relating to the Service shall not exceed the amount you paid for the specific draft giving rise to the claim.

7. Indemnity

You agree to indemnify and hold the Company harmless from claims arising out of your use of the Service, your uploads, or your filings.

8. Termination

We may suspend or terminate access for breach of these Terms or misuse of the Service.

9. Governing law and disputes

These Terms are governed by the laws of India. The courts at Surat, Gujarat have exclusive jurisdiction. The parties will first attempt good-faith resolution; failing which, disputes will be referred to mediation under the Mediation Act, 2023 and, if unresolved, to arbitration under the Arbitration and Conciliation Act, 1996, with the seat at Surat and proceedings in English.
